These Terms and Conditions ("Terms") govern your use of the Studio Webb website and services. By engaging our services or using our website, you agree to be bound by these Terms.
1. Services
Studio Webb provides web development, software development, AI automation, WhatsApp automation, chatbot development, SEO, and related digital services. The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate project proposal or agreement shared before work begins.
2. Project Engagement
Proposals & Agreements
All projects begin with a consultation and a written proposal. Work commences only after the client approves the proposal and any required advance payment is received.
Client Responsibilities
The client agrees to:
- Provide all necessary content, assets, credentials, and information in a timely manner
- Respond to communications and review requests within reasonable timeframes
- Provide clear and constructive feedback during review stages
- Ensure all content provided is legally owned or licensed for use
3. Payment Terms
- Payment terms will be specified in the project proposal
- Typical structure: 50% advance before work begins, 50% upon completion (before final delivery)
- For larger projects, milestone-based payments may be arranged
- Payments can be made via bank transfer, UPI, or other agreed methods
- All prices are in Indian Rupees (₹) unless otherwise stated
- GST will be charged as applicable
4. Revisions & Changes
- Each project includes a defined number of revision rounds (typically 2-3), as specified in the proposal
- Additional revisions beyond the agreed scope will be billed separately
- Major scope changes or feature additions after project approval will require a revised proposal and may affect timeline and cost
- Minor text and content changes are generally accommodated at no extra cost
5. Timeline & Delivery
- Estimated timelines are provided in the project proposal
- Timelines depend on timely client feedback and content delivery
- Delays caused by the client (late feedback, missing content, scope changes) may extend the timeline
- We will communicate proactively if any delays are anticipated from our end
6. Intellectual Property
Ownership
- Upon full payment, the client receives ownership of the final deliverables (website files, custom code, designs)
- Studio Webb retains the right to showcase the project in our portfolio unless otherwise agreed
- Third-party assets (stock images, fonts, plugins, themes) remain subject to their respective licenses
Pre-existing Materials
Any pre-existing tools, frameworks, code libraries, or templates used by Studio Webb remain our intellectual property. The client receives a license to use them as part of the delivered project.
7. Hosting & Maintenance
- Hosting and domain registration are the client's responsibility unless included in the project scope
- We can recommend and set up hosting, but ongoing hosting fees are paid directly by the client
- Post-launch maintenance and support are available as a separate service
- We are not responsible for issues arising from client modifications to delivered work
8. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the project engagement. This includes business strategies, technical details, credentials, and any information marked as confidential. This obligation survives the termination of the engagement.
9. Limitation of Liability
- Studio Webb's total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific project
- We are not liable for indirect, incidental, or consequential damages including lost profits, data loss, or business interruption
- We are not responsible for third-party service outages (hosting, APIs, payment gateways)
- We do not guarantee specific business results (revenue, leads, rankings) unless explicitly stated in writing
10. Cancellation & Refunds
- Either party may cancel the project with written notice
- If the client cancels after work has begun, payment is due for all work completed up to the cancellation date
- Advance payments are non-refundable once work has commenced
- If Studio Webb is unable to deliver the agreed services, a proportional refund will be issued
11. Warranties
Studio Webb warrants that:
- All work will be performed professionally and to industry standards
- Delivered work will be free from known defects at the time of delivery
- We will address any bugs or issues reported within 30 days of project delivery at no additional cost
We do not warrant that the website or software will be error-free, uninterrupted, or compatible with all future third-party updates.
12. Termination
We reserve the right to terminate a project if:
- The client fails to make payments as agreed
- The client is unresponsive for more than 30 consecutive days
- The client requests work that is illegal, unethical, or violates our values
13. Governing Law
These Terms are governed by the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Tiruchirappalli (Trichy), Tamil Nadu, India.
14. Changes to Terms
We may update these Terms from time to time. Changes will be posted on this page. Continued use of our services after changes constitutes acceptance of the updated Terms.
